1. AGREEMENT TO TERMS

These Terms and Conditions (“Agreement”) govern your access and use of BROWNFIELD AI (“Service”), owned and operated by Brownfield AI LLC, the makers of Brownfield AI,  (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. SERVICES PROVIDED

Brownfield AI provides tools that collect, structure, standardize, and present property data for brownfield and redevelopment sites. The Service may include public listings, data ingestion, AI assisted data structuring, property dashboards, and other features that support site evaluation and decision making. Features may change over time as the product evolves.

3. ACCOUNT REGISTRATION & RESPONSIBILITIES

You agree to provide accurate and complete information when creating an account.

You are responsible for maintaining the confidentiality of your login credentials.

You agree to notify us immediately of unauthorized access or misuse of your account.

4. PRICING & PAYMENT TERMS

Pricing for the Service is listed at the time of purchase or defined in a written agreement between you and the Company.

All payments are due at the time of purchase and are non-refundable unless stated otherwise.

We may update pricing or adjust available features at any time. When possible, we will provide reasonable notice.

5. ACCEPTABLE USE

You agree not to:

Use the Service for unlawful purposes

Interfere with or disrupt the Service or its infrastructure

Attempt to access systems or data you are not authorized to access

Reverse engineer, copy, or resell the Service

Use the Service to violate privacy or confidentiality obligations

6. DATA PRIVACY & SECURITY

We collect and process data in accordance with our Privacy Policy.

We use industry standard methods to protect data but cannot guarantee absolute security.

You retain ownership of property specific data that you upload or provide to us.

The Company retains ownership of all data products, AI generated outputs, structured datasets, or derivative work created by the Service.

We may use aggregated or anonymized data to improve the Service, train models, or produce benchmark analyses.

7. INTELLECTUAL PROPERTY

All Service content, including software, text, graphics, and trademarks, is owned by or licensed to the Company.

You are granted a limited, non-exclusive, revocable license to use the Service in compliance with these Terms.

8. DISCLAIMERS & LIMITATION OF LIABILITY

All software, content, features, designs, trademarks, and technology within the Service are owned by or licensed to the Company.

You are granted a limited, non transferable, revocable license to use the Service consistent with these Terms.

You may not copy, distribute, modify, or create derivative works from the Service.

9. TERMINATION

We may suspend or terminate your access to the Service if you violate these Terms.

You may stop using the Service at any time. Payments already made are not refundable.

10. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Michigan.

Any dispute arising under these Terms will be resolved through binding arbitration in Kalamazoo County, unless prohibited by applicable law.

11. CHANGES TO TERMS

We may update or modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
